HYPER X / LEGAL

Terms of Service

These Terms govern training programs, SaaS, add-ons, and related services provided by Hyper X Inc. (the "Services"). If an applicable sales page, enrollment flow, or app-specific terms conflict with these Terms, the applicable terms control. For a business app, you confirm that you are authorized to use it for a business purpose.

1. Access and accounts

You must provide accurate registration information and protect credentials. We may restrict or suspend access for legal, security, maintenance, or material Terms-compliance reasons.

2. Connected data and your responsibilities

When you use a connected feature, you represent that you have authority to process connected accounts, contacts, email, attachments, and other data through the Service. You will comply with applicable law, connected-service terms, anti-spam rules, intellectual-property rights, and notice or consent requirements. You must not send or process unlawful, harmful, fraudulent, or infringing content.

3. Fees and metered usage

Fees, included usage, overage rates, billing cycle, and billable events are displayed on the applicable app page, App Home, and checkout page. We charge subscription fees and metered usage recorded during the billing period. Billing disputes must be raised with supporting detail within 30 days after the charge.

4. Term, cancellation, and deletion

Unless otherwise displayed at checkout, subscriptions renew each billing period. Cancellation effect, refunds, and metered charges accrued through cancellation are governed by the Cancellation Policy and the applicable app page. Deletion of service data and retention of billing or audit records are governed by the Privacy Policy and app-specific notice.

5. Intellectual property and feedback

We and our licensors retain rights in the Services. You retain rights in your data. We may use voluntary feedback to improve the Services, but do not use email content or other customer data for an independent purpose.

6. Third-party services and disclaimer

The Services depend on third-party services and networks. We operate with reasonable care but do not guarantee outcomes affected by their changes, outages, delivery delays, blocks, data loss, or your configuration.

7. Limitation of liability

To the extent permitted by law, we are not liable for indirect, special, consequential, lost-profit, or data-recovery damages. Our aggregate liability is limited to the fees you paid for the affected Service in the 12 months preceding the event. This does not limit liability that cannot lawfully be excluded, including our willful misconduct or gross negligence.

8. Changes and governing law

We may update these Terms on reasonable notice for material changes. Japanese law governs, and the Tokyo District Court has exclusive first-instance jurisdiction.
